1.Introduction

This Platform (henceforth referred to as) is owned and managed by ALYF Proptech Private Limited ("ALYF"), a company established under Indian laws and having its registered office at 9, H-901, The Trees, Pirojshanagar, Vikhroli, Mumbai Suburban, Maharashtra, 400079, India. The terms ALYF's website, "we", "our", and "us" in these Terms of Use pertain to ALYF.
The term "User" as mentioned hereinafter includes the user's permitted assigns, successors, heirs, and legal representatives unless the context implies otherwise;
By utilizing this Website, the User clearly states that they have read and comprehended these Terms of Use and agrees to be bound by them. Moreover, by using this Website, the User explicitly affirms that (a) they possess the capacity to comply with these Terms of Use; (b) if representing a company or other entity, they hold the necessary authority to bind such organization or entity; (c) they will not infringe upon any rights belonging to ALYF including intellectual property rights such as copyrights or trademarks; and (d) they have not been nor are currently suspended or removed from the Website by ALYF for any reason.

2. Information Sharing and Confidentiality

By using our services, Users confirm that they meet the required legal age and competence to form a binding contract while not being barred from receiving services under applicable Indian laws. Users also commit to providing accurate, current, complete, and updated information about themselves as prompted by our Product's/Service's registration form or any information supplied by the user through alternative means of communication. If Users offer any information that turns out to be incorrect, not current, or incomplete (or becomes untrue, inaccurate, outdated, or incomplete), or if we have reasonable suspicions to doubt the veracity of such information, we hold the right to suspend or terminate the User's account and refuse any and all present or future use of our Product/Service (or any part thereof). Users agree to indemnify and hold ALYF harmless for any loss, claim, damage, charges (including legal and professional fees), or whatsoever related to any misuse or infringement including those aforementioned.
"User Information" refers to any data given to us by the User during registration, in the feedback section, or via email, such as their name, address, phone number, birth date, gender, email address, organization, etc., ("Personal Information"). We will safeguard User Information following our Privacy Policy (uploaded separately). ALYF will treat all Personal Information received from Users as confidential. If a User uses the Product/Services/Website, they are solely responsible for keeping their Login ID and Password confidential and restricting access to their computer. They also agree to take responsibility for all actions performed under their Login ID or Password. We are not accountable for any loss or damage resulting from a user’s failure to protect their password or account. The User agrees to indemnify and hold harmless ALYF for any loss, claim, damage, expenses (including legal and professional costs), or other issues related to User responsibility, liability, or failure as mentioned above. Users agree to inform us promptly of any unauthorized use of their account or any other security breach. We reserve the right to deny service, close accounts, or modify or remove content at our sole discretion.

3. User Agreement and Confirmation:

Users agree that they will use our Services for lawful purposes only and adhere to all applicable laws and regulations while using the said Platform and Services. Users must provide accurate and genuine information whenever it is requested. We retain the right to confirm and verify the information and details supplied by the user at any time. If we determine that a user's details are false (in whole or part), we have the exclusive right to refuse registration and prohibit the user from utilizing our Platform, Services, or other associated products without prior notice.
Users should access the said Platform and Services and conduct transactions at their own risk while exercising good judgment before engaging in any transactions. Using this website does not establish an attorney-client relationship. 6. Payments for services may be made through various electronic modes

The user agrees and confirms that they will provide accurate credit card/debit card/wallet information when subscribing to our Product/Services. Users shall only use cards/accounts legally owned by them and are responsible for ensuring the validity of their payment details.
ALYF does not store any information related to users' credit card/debit card/net banking details. If a transaction fails due to lack of authorization from a user's bank or gets interrupted for any reason, such transaction will be considered unsuccessful and no orders will be processed. In cases where the user's account has been charged erroneously during a failed transaction, a refund will be issued. Users bear sole responsibility for fraudulent use of their cards and must provide evidence to prove otherwise. ALYF shall not be held accountable for any such issues.

7. Fraudulent/Rejected Transactions

Our affiliated payment partners – Payment Gateways, facilitators, and banks – alongside their fraud detection teams, continuously monitor user accounts to prevent fraudulent activities and transactions. We reserve the right to undertake legal action against individuals engaging in fraudulent use of our products/services or any other unlawful acts breaching these terms and conditions. Upon discovering any fraudulent or declined transaction before initiating legal action, we reserve the right to immediately delete such user account(s) and revoke all past and pending orders without liability. Under this clause, we hold no responsibility for refunds.

ALYF does not claim ownership over any materials submitted by Users through the Website. We may incorporate such materials into our Service entirely or partially or in a modified form at our discretion. Users grant ALYF a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to utilize, reproduce, distribute, publicly display, modify, create derivative works from and sublicense these materials (and any associated names). Users warrant that they have full rights to grant this license for submitted materials. We take no responsibility for user-submitted content and do not guarantee its publication on the site. The materials on this website are copyrighted and may not be modified, reproduced, stored in a retrieval system, transmitted (in any form or by any means), copied, distributed, used for creating derivative works or utilized for commercial or public purposes without prior written approval from ALYF.

11. Limited Liability

Users explicitly understand and agree that ALYF and its subsidiaries, affiliates, officers, employees, agents, partners, and licensors shall not be held accountable for any direct, indirect, incidental, special, consequential or exemplary damages – including but not limited to – loss of profits, goodwill, use of data or other intangible losses. This applies even if ALYF has been informed of potential damages resulting from usage of the site or associated services.
If despite these limitations ALYF or its affiliates are deemed liable for any loss or damage connected to the above occurrences, the liability of ALYF and/or its affiliates will not exceed the greater amount of service fees paid to ALYF in relation to such transactions on this site. The restrictions outlined in this section will persist and be enforceable even if any limited remedy is deemed inadequate. These limitation clauses provided in these terms protect ALYF, its affiliates, and their respective service providers.

12. Termination

The following conditions will apply in the absence of any other written agreement or contract between the parties on these matters:
Either the User or ALYF can end our association, for any reason or no reason at all, taking immediate effect. Although ALYF will attempt to notify the User before terminating their account, the User acknowledges that ALYF might have to terminate their account abruptly under certain circumstances. Reasons for termination can include, without being limited to, violations of the Terms of Use by the User, law enforcement or government agency requests, non-payment of fees related to using the said Platform or Services. ALYF will not hold any responsibility towards the User or any third party for discontinuing said Platform or Services. In case the User disagrees with any part of the Terms of Use or becomes discontented with the Service or Covered Platform, their sole remedy is to: (a) cease using the said Platform and Services; and (b) inform ALYF about such discontinuation.
The moment our relationship ends, the User's access and usage rights to the said Platform and Services will be revoked instantly. Following this, ALYF is under no obligation to complete any pending tasks assigned by the user or forward unsent messages to users or third parties. Once terminated, cancelled, or suspended, recovery of data stored on said Platform may not be possible. If our relationship is terminated because of a breach of Terms of Use on the part of the User, we have the authority to make necessary deductions from their Account balance before sending a refund to their personal bank account.

13. Governing Law and Jurisdiction

These Terms must be interpreted in conformity with India's applicable laws, irrespective of its principles addressing conflicts between laws. Only Courts at Mumbai have jurisdiction over disputes arising in relation to these Terms and their interpretation thereof. This Website is controlled and maintained by ALYF within Mumbai, India.

14. Terms and Conditions, Notices, and Revisions

By using this Website, the visitor consents to our Notice and Terms of Use, which includes limitations on damages, dispute resolutions, and the applicability of Indian laws. If users have any privacy-related concerns on our Product, we encourage them to contact us with a detailed description so that we can promptly address it. Our business is constantly evolving, which means that our Privacy Policy and Terms of Use will also change over time, so users should revisit our website to stay updated on the changes. 15. SMS and Voice Communications

Upon registering on our website, all clients consent, recognize and accept under the Terms of Use that even if they are enrolled in NDNC (National Do Not Call) or DND (Do Not Disturb), ALYF has the authorization to call and assist the user and/or send SMS/Emails due to their voluntary registration at www.alyf.in. ALYF holds no responsibility for any NDNC Registry regulations that may arise.

16. Continuation of Terms After Agreement Termination

Regardless of other provisions in this Terms of Use or the Privacy Policy and contrary to any general legal principles, any part of this Terms of Use which imposes or considers ongoing obligations on the user will persist beyond this Terms of Use's expiration or termination.

17. Modification

ALYF holds the right to erase, alter, modify, update, or discontinue any information on this website without notifying users, individuals, groups, institutions or governing bodies.

We cannot guarantee that the website will meet user demands, provide uninterrupted access, prevent delays, failures, errors or loss of transmitted data, safeguard against viruses, or ensure that no harm comes to a user's computer system.
